Mutual confidentiality
By starting this Auperon engagement, both parties agree to a two-way confidentiality obligation covering all customer-provided data, samples, cell lines, process information, results, and business terms. Van Heron Labs, Inc. ("VHL") will not share, distribute, or disclose your project-specific information to third parties without your written consent.
Use of your data
Your project data is used solely to deliver the analysis, digital twin, and recommendations specified in your selected tier. Your data will not be stored beyond the engagement window, will not be used for training any general-purpose machine learning models, and will not be shared with other customers.
Aggregate patterns identified across many engagements (e.g., "trace element X is a novel modulator across multiple MSC programs") may inform Auperon's platform recommendations to other customers, but no customer-specific information — data, cell line identity, process details, results — is ever linked to those aggregate patterns.
Data retention & deletion
Your data is deleted 60 days after final deliverable handoff unless you specifically request extended retention. Extended retention (past 60 days) may incur ongoing storage fees. Digital twin access continues for the duration specified in your tier regardless of raw-data retention.
IP ownership
You retain ownership of your project data, cell lines, process information, and any biomarker candidates, modulator identifications, and recommendations produced from your engagement. VHL retains ownership of the Auperon platform, analytical methods, and platform-level improvements derived from generalized patterns.
Recombinant / heterologous data
If your project involves heterologous or genetically modified cells, any recombinant construct data (nucleotide sequence, protein sequence, GM description) is used only for read mapping and is deleted upon delivery of results. This data is handled through a separate secure upload channel provided post-payment.
Refund policy
Auperon engagements are fixed-price. If sequencing data (provided by you or coordinated by VHL) fails our internal QC — meaning it is uninterpretable at the level required to produce mechanism-backed output — the engagement is refunded in full and VHL will provide recommendations on experimental design for a future run.
Governing law
These terms are governed by the laws of the State of Delaware, United States. Any disputes arising under these terms shall be resolved by binding arbitration in Delaware.
